Confidential Information

The specific information an NDA protects, defined by category rather than left open-ended.

Disclosing Party

The person or company sharing information under an NDA.

Receiving Party

The person or company that receives information and agrees to keep it private.

Governing Law

The state whose law applies to a document and where a dispute over it is decided.

Notarization

Having a document signed in front of a notary public. Some documents require it; many, including most NDAs, do not.

Injunctive Relief

A court order stopping someone from doing something, used when money alone cannot undo the harm of a breach.

Non-Solicitation

A promise not to hire away a company’s employees or clients for a set period.

Mutual NDA

An NDA where both sides share and protect information, rather than only one.
